ConvoCopilot is operated by Lambda 7 Tech LLC.

These Terms of Service ("Terms") govern your use of the ConvoCopilot mobile application and any related services (collectively, the "App" or "Service") provided by ConvoCopilot ("we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

Apple App Store (iOS)

If you download ConvoCopilot from the Apple App Store, Apple's Standard License Agreement (EULA) also applies to the licensed app on Apple devices: https://www.apple.com/legal/internet-services/itunes/dev/stdeula/ . These Terms remain your agreement with ConvoCopilot for your account, the Service, and your use on every platform, together with Apple's license where Apple requires it.

1. Acceptance of Terms

You must be at least 13 years old (or the minimum age required in your jurisdiction to consent to these Terms) to use the App. By downloading, installing, or using the App, you agree to these Terms and our Privacy Policy. If you use the App on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the App.

2. Description of Service

ConvoCopilot is a language copilot application focused on practice (language level assessment, AI practice, phrase lists, flashcards), with live conversations and one-way listening when you need real-world support in multiple languages. Features may include translation, response suggestions, and locally stored conversation history. The App is for educational and personal use only and is not a substitute for professional language instruction or certified translation.

3. AI Disclosure and Use

When you use the live conversation, listening, translation, or practice features of this App, you are interacting with artificial intelligence (AI), not a human. The translations, suggestions, and chatbot responses are generated by machine learning systems. This disclosure applies to users in California, the EU, and other regions where you use the App. Do not rely on the App for human judgment, emotional support, or decisions that require a licensed professional.

Suitability for minors: The App may not be appropriate for all minors. Parents and guardians should supervise use by anyone under 18 and consider whether the content and features are suitable for their child.

Extended use reminder: When you use longer practice sessions or other long-running conversational features for long periods, the App may remind you to take a break at least every 3 hours. We encourage you to follow these reminders for your well-being.

4. Account Registration

You may need to create an account to use certain features. You are responsible for keeping your account credentials confidential and for all activity under your account. You must provide accurate information and notify us promptly of any unauthorized use. If you enable notifications, you agree that we may use your email address and device notification tokens to send service-related messages and reminders in accordance with your settings, these Terms, and our Privacy Policy. Where available, you can manage notification settings in the App.

5. Subscriptions and Payments

The App offers free and paid tiers. Paid subscriptions are processed solely through the app store from which you downloaded the App (e.g., Apple App Store, Google Play). All payment, renewal, and refund matters are governed by that store's terms and policies.

  • Paid subscriptions automatically renew at the end of each billing period unless you cancel before the end of the current period (cancellation timing is set by the app store).
  • You must manage or cancel your subscription through your device or app store account settings; we cannot cancel subscriptions on your behalf.
  • Refunds are handled exclusively by the app store in accordance with its policies; we do not process refunds directly.

Refund policy: Because purchases are processed through Apple App Store or Google Play, refund requests must be submitted through the store where you purchased your subscription. We cannot issue direct refunds. For help finding your store's refund flow, contact [email protected].

6. User-Generated Content

You retain ownership of content you create, upload, or submit through the App ("User Content"). By using the App, you grant us a limited, non-exclusive, royalty-free license to use, host, store, and process your User Content as necessary to operate, provide, and improve the Service. We do not claim ownership of your User Content.

AI-generated outputs (such as translations and chatbot responses) are produced by the App's systems. Under current U.S. law, such machine-generated content may not be copyrightable by you or by us. You may use these outputs for personal, non-commercial purposes in line with these Terms, but we do not grant you any copyright or other intellectual property rights in the AI-generated output itself.

7. Prohibited Conduct

You agree not to:

  • Use the App for any illegal purpose or in violation of any applicable law.
  • Harass, abuse, threaten, or harm others, or use the App to generate, distribute, or encourage harmful, defamatory, or otherwise objectionable content.
  • Scrape, crawl, or use automated means (e.g., bots or scripts) to access the App or extract data, or attempt to circumvent usage limits or access controls.
  • Reverse-engineer, decompile, disassemble, or attempt to derive source code from the App, except as permitted by applicable law.
  • Interfere with or disrupt the App, our systems, or other users' use of the Service.

8. Intellectual Property

The App and all content, features, and functionality (including our proprietary software, design, and branding) are owned by ConvoCopilot or our licensors and are protected by copyright, trademark, and other intellectual property laws. You receive only a limited license to use the App in accordance with these Terms. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. AI-Generated Content and Disclaimers

The App uses AI to generate suggestions, translations, practice dialogue, and other content. Machine-generated conversation help is provided "as is." We do not guarantee its accuracy, completeness, or suitability. You are solely responsible for how you use such content and for any decisions or actions you take based on it. We are not liable for any harm resulting from your reliance on AI-generated content, including mistranslations.

This app is not for medical, legal, or emergency use. We are not liable for mistranslations or for any harm from relying on AI output. For medical, legal, or emergency situations, seek qualified human professionals.

Safety and crisis support: Our AI practice and other conversational AI features may use automated protocols to detect language that suggests suicidal ideation or self-harm. When such content is detected, the App may provide information about crisis and support resources (e.g., crisis hotlines) and encourage you to seek help from qualified providers. The App is not a substitute for crisis or mental health services.

10. No Professional Advice

The App does not provide legal, medical, or professional advice. Content and features (including translations and suggestions) are for educational and personal use only and do not constitute certified translation, legal advice, medical advice, or other professional services. For such matters, consult a qualified professional.

11. Service Modifications

We may change, suspend, or discontinue any feature or part of the Service at any time, with or without notice. We have no obligation to maintain or provide any particular functionality. Your continued use of the App after changes constitutes acceptance of the modified Service.

12. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, or that the App will be uninterrupted or error-free. Some jurisdictions do not allow disclaimer of implied warranties, so some of the above may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by applicable law, ConvoCopilot and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or revenues, arising from or related to your use of the App, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from these Terms or the App shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or one hundred U.S. dollars, whichever is greater. Some jurisdictions do not allow limitation of liability, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless ConvoCopilot and its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the App, your violation of these Terms, or your violation of any third-party rights.

15. Termination

We may suspend or terminate your access to the App at any time, with or without cause or notice. Upon termination, your right to use the App ceases immediately. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive termination.

16. Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date. Material changes may be communicated via the App or email where appropriate. Your continued use of the App after the effective date of changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the App.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any dispute arising from these Terms or the App that is not resolved informally or through small claims court shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, with the arbitration conducted in California. Before initiating arbitration, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Either party may bring qualifying claims in small claims court in the county where you reside or in California instead of arbitration. To the extent permitted by applicable law, you and we each agree that any dispute will be brought only in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate proceedings or preside over any form of class or representative action.

18. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' intent.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other policies we publish in the App or on our website, constitute the entire agreement between you and ConvoCopilot regarding the App and supersede any prior agreements or understandings.

20. Export Controls

You may not use, export, re-export, or transfer the App or any related technology in violation of U.S. export control laws and regulations or any other applicable export or import laws. You represent and warrant that you are not located in a country subject to a U.S. government embargo or designated as supporting terrorism, and that you are not listed on any U.S. or other applicable government list of prohibited or restricted parties. You agree to comply with all applicable sanctions and export control laws.
